$$Geil$$ NEOM's qode to Web-enable 5 Million... Bottles of 'ONE' Water at 4,000 U.K. Retailers

10.11.2006 13:58:00 (BUSINESS WIRE)

NeoMedia Technologies, Inc. (OTC BB: NEOM), an innovator in market-driven technologies, said today that ONE, the ethical water brand, has become the first European product to sign to use NeoMedia's qode(R) application on all its packaging to communicate with its customer base via the Mobile Internet.

ONE bottles will link to the Mobile Internet via qode starting in December, when the first shipments of more than 5 million bottles bearing qode-enabled "smart codes" will start appearing at more than 4,000 retail outlets throughout the U.K. ONE enjoys a reputation for breaking new ground in marketing, and by having NeoMedia's qode linking its bottles to information and charitable giving capability on the Mobile Web, it believes it is once again at the forefront of the latest developments in the marketing field.

NeoMedia's patented qode (www.qode.com) suite is an easy-to-use set of applications -- qode(R)reader and qode(R)window -- which provide One Click to Content(TM) connectivity for products, print, packaging and other physical objects to link directly to specific desired content on the Mobile Internet. qode(R)reader works with camera phones, letting users "click" on two-dimensional "smart codes" to access the Mobile Web site to which the code is linked, while qode(R)window lets users reach the same destination by entering a key word, slogan or product name.

ONE water www.ONEwater.org.uk which is supported by celebrities in the U.K., gives 100% of its profits to Playpumps(TM), the charity which brings fresh drinking water to where it is most needed in Africa. Along with ONE water, Playpumps has the support of leading international philanthropic organizations including USAID, the Clinton Foundation, The MCJ Foundation, The Case Foundation, Unilever, Crealy Adventure Parks, TNT, Vodacom, PEPFAR, Lemelson Foundation, International Finance Corporation, and Jay-Z.

Playpumps work on a simple concept: as children spin on a merry-go-round, water is pumped from below the ground, and is then stored in a tank just a few feet away, making a safe, plentiful supply of water available in the community. To date, nearly 700 PlayPump systems have been installed in southern Africa, providing safe water to a million people living in rural and peri-urban communities. In the future, thousands more PlayPumps will be installed throughout Sub-Saharan Africa, bringing the many benefits of ready access to clean drinking water to millions.

Initially, smart codes linked to qode will appear on 5 million bottles of ONE water, which is stocked by more than 4,000 retail outlets in the U.K., including Tesco, Morrison's, Waitrose and Co-op supermarkets, Total gas stations, and virtually all colleges and universities in the U.K. as well.

ONE water said that qode will unlock the potential of the Mobile Web, allowing its consumers real-time access to important information about the brand and its humanitarian work in Africa, together with competitions, special offers, and even over-the-air donations.

"qode will play a leading role in our marketing approach because it gives us unprecedented flexibility combined with the immediacy of working in real time to deliver promotions and establish relationships with our consumers, " said Duncan Goose, founder of ONE Water and CEO of Global Ethics.

Martin Copus, president of NeoMedia Mobile and COO of NeoMedia Technologies, said he and his company "are delighted to be working with ONE. It is a brand with a reputation for leadership and innovation. It is our hope that qode will help drive sales of the product as well as charitable donations."

3 Major Chinese Insurance use Neomedia Qode... 3 Major Chinese Insurance Companies Contract to Use Direct-to-Mobile-Web qode® Technology from NeoMedia

http://www.neom.com/press_releases/2006/20061115.jsp

FORT MYERS, Fla. & BEIJING--(BUSINESS WIRE)--NeoMedia Technologies, Inc. (OTC BB: NEOM) today reported that three major insurance companies in China have signed agreements to use its patented direct-to-mobile-web qode® technology.

The companies -- Alltrust Insurance Company of China Ltd., headquartered in Shanghai, Hua An Insurance (Sinosafe Insurance) Co. Ltd., headquarter in ShenZheng, and Yong An Insurance Co. Ltd., headquarter in Xi An - all signed agreements last week, said Charles T. Jensen, president and CEO of NeoMedia.

Developed and patented by NeoMedia, the qode (www.qode.com) suite of easy-to-use applications includes qode®reader and qode®window, providing One Click to Content(TM) connectivity for products, print, packaging and other physical objects to link directly to specific desired content on the Mobile Web. qode®reader works with camera phones, letting users “click” on two-dimensional “smart codes” for a direct connection to desired information, discount coupons, maps, contest entry forms, etc., and qode®window lets users enter a key word, phrase, UPC, etc., for similar connection.

NeoMedia's China Strategy Paying-Off

Mr. Jensen said NeoMedia will adapt its qode technology using “smart codes” to link more than one million policy holder customers via their cell phones directly to each company's Mobile Internet site. On those sites, he said, policy holders will be “just a click away” from information on their policies, claims, rates, etc. Smart codes, he said, will replace current document forms and individual insurance records. Each insurer will be assigned a smart code to keep records of insurance history.

“Just four months ago, NeoMedia Mobile business unit announced plans to begin making inroads within The People's Republic of China by working with companies and consultants based inside the country,” Mr. Jensen said. “With the signing of these agreements our strategy is moving forward as planned.”

Background on Chinese Insurance Companies

Alltrust Insurance Company of China Ltd. (http://www.alltrust.com.cn/index.asp) operates 15 branch offices in major cities throughout China, is owned by Chinese energy, power and investment companies, and has a registered capital of 1B RMB.

NeoMedia Revises its Mobile Marketing Strategy, Announces Sale of its Recently Acquired UK Subsidiary

FORT MYERS, Fla.--(BUSINESS WIRE)--NeoMedia Technologies, Inc. (OTC BB: NEOM) , said today that it is continuing to revise its mobile marketing strategy, announcing the sale of recently acquired Sponge Ltd., a subsidiary based in the U.K., back to its founders. Previously, NeoMedia had announced the signing of a non-binding Letter of Intent to sell its micro paint repair business unit in order to concentrate its corporate marketing resources on mobile marketing opportunities for its patented qode® product platform.

Charles T. Jensen, president and CEO of NeoMedia, said "that this agreement with Sponge is another significant step by company management to target corporate resources on the introduction of our patented qode suite of products in European markets and in North America and China. We decided it is in the best interest of our shareholders to continue to fine-tune our focus, trim our cash burn rate, and reverse substantial dilution."

Under the terms of the agreement, NeoMedia receives back from Sponge 33,097,135 shares of its own stock and $100,000 (net of attorney fees) in cash, and is due an additional $150,000 by March 7, 2007. NeoMedia also retains a 7.5% interest in the London-based company which develops and implements mobile marketing campaigns, mobile applications and delivers content for U.K. and international customers.

All other agreements of NeoMedia relating to the acquisition are terminated, including the purchase price guarantee clause which called for NeoMedia to make up, in cash, any decrease in the value of shares issued as consideration for the acquisition of Sponge. Based on NeoMedia's current share price, this obligation would have been in excess of $10 million.

"NeoMedia's plan and intent," said Mr. Jensen, "is to build shareholder value by focusing our development and marketing expertise on next-generation mobile applications and opportunities, especially for our qode direct-to-mobile-web cell phone technology. To do so successfully, NeoMedia must also concentrate its resources in order to continue to build our presence and products, here in the U.S., in Europe, and around the world."

NeoMedia's patented qode (www.qode.com) suite is an easy-to-use set of applications -- qode®reader and qode®window -- which provide One Click to Content(TM) connectivity for products, print, packaging and other physical objects to link directly to specific desired content on the Mobile Internet. qode®reader works with camera phones, letting users "click" on two-dimensional "smart codes" to access the Mobile Web site to which the code is linked, while qode®window lets users reach the same destination by entering a key word, slogan, or product barcode number.

"NeoMedia," said Mr. Jensen, "looks forward to a continuing working relationship with Sponge founding partners Alex Meisl and Dan Parker and their team as part owner and co-marketing partner."

NeoMedia's Gavitec Signs 6-figure Contract with Germany's No. 2 Outdoor Ad Firm

Develops Innovative Mobile Phone-Based Billboard Monitoring System

FORT MYERS, Fla. & AACHEN & COBLENZ, Germany--(BUSINESS WIRE)--Gavitec AG - mobile digit, a subsidiary of NeoMedia Technologies Inc. (OTC BB: NEOM - News) and a leading provider of mobile technologies and marketing solutions, has been contracted by awk Aussenwerbung GmbH to develop a mobile order-management and control system based on its groundbreaking Lavasphere technology.

The system, using standard camera phones functioning as mobile data recorders, will quickly provide awk's bill-posting staff with the information needed on its rounds. The phones also function as optical code readers and provide real-time information about billboard placement and condition to the awk resource planners. The awk field staff will be able to collate the codes on the advertising subjects with the location codes on the billboards, simply by using a camera phone. Photos documenting the condition of the advertising, along with other relevant information, will be automatically forwarded to the back-end server and to awk's resource management for further processing.

"This new system is designed to help Germany's second-largest outdoor advertising company set new standards in order and quality management, and greatly improve flexibility in placing and monitoring outdoor advertising for their clients," said Dr. Christian Steinborn, managing director of Aachen-based Gavitec AG - mobile digit.

"We are delighted to provide awk with a process-optimised system that powerfully demonstrates our synthesis of mobile- phone and code-reader technologies," said Dr. Steinborn in commenting on the new contract, which he said had a value in six figures. "By using cost-effective mobile phones, we have an ideal solution for equipping large numbers of field staff with an efficient tool for planning and documenting. In the near future, we expect a strong increase in demand for mobile-phone- based control solutions, especially in out-of-home media.

Joachim Kleinhans, managing director of awk Aussenwerbung GmbH, said, "Controlling our inventory via mobile phone puts us in a position to monitor our approximately 45,000 large billboards throughout Germany in a quick and cost-effective manner, and to inform our customers of the status of their campaigns at any time. Changes to bill-posting contracts can be implemented by mobile phone, even at short notice. We can co-ordinate poster advertising and keep it up- to- date in a way that is only now possible."

The monitoring and control system being developed for awk is the latest application of Gavitec's Lavasphere technology. Using specialized software, readily available camera phones are transformed into code readers which can read postage-stamp sized two-dimensional data-matrix codes simply by aiming the phone's camera at them. Real-time data transfer via GPRS automatically compares information with a central database.

Gavitec's Lavasphere technology drives new ways of linking the physical environment to digital databases via mobile phone networks. Mario Jouben, CTO of Gavitec AG - mobile digit, explained that "Order management by mobile phone is just one of the many creative applications of Lavasphere. Optical code reading will soon be one of the standard mobile phone applications and will play an important role in various applications in corporate and customer communications."

About Gavitec AG - mobile digit

http://biz.yahoo.com/bw/061204/20061204005761.html?.v=1

FORT MYERS, Fla. & LONDON--(BUSINESS WIRE)--NeoMedia Technologies, Inc. (OTC BB: NEOM - News), an international leader in market-driven technologies, announced today that Euro RSCG London, one of the leading and fastest growing advertising agencies in the U.K., has purchased a license to use and co-market NeoMedia's flagship direct-to-mobile-web qode® technology.

Martin Copus, president of NeoMedia Mobile, said that NeoMedia will work with Euro RSCG London (www.eurorscglondon.co.uk) in co-marketing qode to the agency's clients.

Euro RSCG - with 223 offices worldwide -- is the major advertising agency of Havas, the French-owned advertising services group that also includes Arnold Worldwide. Euro RSCG London is the country's third largest marketing communications group, with ad agency Euro RSCG London's client list including Airbus®, Alberto Culver®, BMI Baby®, Citroen®, Disneyland® Resort Paris, Evian®, Kraft®, LG®, News Group Newspapers (The Sun® and News of the World®), Peugeot® and Reckitt Benckiser® .

NeoMedia's qode (www.qode.com) suite of easy-to-use applications includes qode®reader and qode®window, providing One Click to Content(TM) connectivity for products, print, packaging and other physical objects to link directly to specific desired locations on the Mobile Web. qode®reader works with camera phones, letting users "click" on two-dimensional "smart codes" for a direct connection to linked mobile web sites, delivering multimedia advertising, promotion, information or other mobile content. qode®window lets users enter a key word, slogan, or barcode number to similarly direct-connect to a desired web site or portal on the mobile Internet.

"This license gives Euro RSCG London the right to use and market qode, our patented direct-to-mobile-web linking technology" said Mr. Copus. "Euro RSCG London is a very hot agency right now, both in growth and new business, and we believe that qode will give it even more of an edge with its existing blue chip clients, and in presentations to new business prospects."

Mr. Copus said qode will be positioned and presented to Euro RSCG London clients as "a strategic cornerstone, linking traditional media advertising to the multimedia 'always-on, anywhere' capability of the Mobile Internet. Euro RSCG is one of the most forward-thinking agencies in London, and it's not at all surprising that they are the first agency there to recognize the value of qode for their creatively-demanding client base."

Mark Cadman, the chief executive officer of Euro RSCG London, shared Mr. Copus's enthusiasm.

"We are delighted to be partnering with NeoMedia," Mr. Cadman said. "qode is an exciting application that gives us the opportunity to make our communications live beyond the media in which they appear and facilitates a new level of consumer engagement for advertising. It represents a great opportunity for us to make our advertising work even harder for our clients. Harnessing the potential of digital media is a central focus for Euro RSCG London."

NeoMedia Sells Mobot and Retains Minority Stake

FORT MYERS, Fla.--(BUSINESS WIRE)--Moving to fulfill its planned consolidation of its mobile marketing strategy, NeoMedia Technologies, Inc. (OTC BB: NEOM), today announced the sale of its Lexington, Massachusetts-based Mobot subsidiary to its founders, while retaining a minority ownership in the company.

NeoMedia President and CEO Charles T. Jensen said, “This step moves NeoMedia closer to fulfilling its goal of being able to target all corporate resources on the continued enhancement and ongoing marketing and launch of our patented qode suite of products in Europe, North America and China. As with the planned sale of our micro paint repair business unit, and the sale of a U.K. subsidiary last month, we have, as promised to our shareholders, continued to focus on qode while cutting back our burn rate and reversing substantial dilution.”

Under the terms of the agreement, NeoMedia returned 82% of its ownership interest in Mobot, which was acquired in February of this year, while retaining 18% ownership in the company. In addition, all obligations under the original merger agreement, including the purchase price guarantee obligation, were terminated. Based on NeoMedia’s current share price, this obligation would have been in excess of $5 million. At closing, NeoMedia contributed $67,000 in cash to Mobot, and also entered into a promissory note for an additional $200,000 payable to Mobot by December 31, 2006 or earlier on the completion of the sale of NeoMedia’s Micro Paint Repair business.

NeoMedia received 16,931 “preference shares” in Mobot, which can be redeemed to reclaim the 16,931,493 original consideration shares issued by NeoMedia in its acquisition of Mobot. Each preference share can be redeemed for 1,000 shares of the NeoMedia common stock within 15 months of the closing of this transaction. After 15 months, the preference shares can be redeemed upon a liquidation event of Mobot for either 1,000 shares of NeoMedia common stock each, or for the then-current cash equivalent of the shares.

NeoMedia also received a limited exclusive license to access Mobot services for integration with barcode-related applications.

“As a nearly one-fifth owner -- and as a licensee of Mobot services as they relate to barcode applications -- NeoMedia believes in Mobot’s technology and management team,” Mr. Jensen said.

“Moving forward, NeoMedia will continue to concentrate on developing and marketing its expertise on next-generation mobile applications and opportunities, especially for our qode direct-to-mobile-web cell phone technology,” Mr. Jensen said.

NeoMedia’s patented qode (www.qode.com) suite is an easy-to-use set of applications -- qode®reader and qode®window -- which provide One Click to Content™ connectivity for products, print, packaging and other physical objects to link directly to specific desired content on the Mobile Internet. qode®reader works with camera phones, letting users “click” on two-dimensional “smart codes” to access the Mobile Web site to which the code is linked, while qode®window lets users reach the same destination by entering a key word, slogan, or product barcode number.

Ltd., headquarter in ShenZheng, and Yong An Insurance Co. Ltd., headquarter in Xi An, had signed contracts to use qode.

NeoMedia said it is working to adapt qode to use smart codes to enable millions of policy holders in China to use their cell phones to link directly to their insurance company's Mobile Internet site.

"Using qode," said NeoMedia Chairman Chas Fritz, "information on policies, claims, rates, etc. on the insurance company's Mobile Internet sites will be just a click away for consumers." Smart codes, he said, will replace current document forms and individual insurance records, with each insurer assigned a smart code to keep records of insurance history.

Prentice Hall to Use NeoMedia's qode... ... to Link to Sales Force via Cell Phones; NeoMedia Completes $2.5 Million Funding Agreement with Cornell Capital

08.01.2007 15:23:00 (BUSINESS WIRE)

NeoMedia Technologies, Inc. (OTC BB: NEOM), announced today that its patented qode(R) technology, which links users via cell phones to the Mobile Internet, will be used by Prentice Hall, a worldwide leader in text book publishing, to help communicate with its sales force. Prentice Hall is currently introducing qode to its sales force at a national sales meeting in Phoenix.

Eric Frank, director of marketing, Business Publishing for Pearson Prentice Hall said qode will be an "integral component" of the seven-day meeting at the J.W. Marriott. Prentice Hall, he said, will use qode as an "ice-breaker" from the beginning of the meeting, and will have its sales staff enter daily contests through active personal interaction, all powered-by qode. When the national sales meeting is over, he said, the Prentice Hall sales staff will take qode with them, on their cell phones, as they work. Initially, they will use qode to receive sales tips and "talking points" on some 40 titles.

"Our team is very excited about using qode in our internal and external marketing efforts," Mr. Frank said, noting that sales staff "will also be enabled to demonstrate the interactive features of the "Marketing: Real People, Real Choices 5/e," text book.

The fifth edition of the popular marketing text, "Marketing: Real People, Real Choices 5/e" will be in distribution in January. The text, used annually by thousands of college students and hundreds of professors and instructors worldwide, includes a detailed description of NeoMedia's launch of qode, including interviews with top executives. Prentice Hall also made a video about the qode launch, which was filmed at NeoMedia's Fort Myers headquarters. Dr. Michael R. Solomon, visiting professor of Marketing, St. Joseph's University, Greg W. Marshall, professor of Marketing and Strategy in the Crummer Graduate School of Business, Rollins College, and Elnora W. Stuart, professor of Marketing and BP Egypt Oil professor of Management Studies at The American University in Cairo, wrote the fifth edition of the text. Through a special arrangement with Prentice Hall, the textbook will be made available for purchase through links on both the NeoMedia Technologies (www.neom.com) and qode (www.qode.com) Web sites.

NeoMedia said the contract with Prentice hall is revenue-generating.

NeoMedia - Cornell Capital in Funding Agreement

NeoMedia also said that on December 29, 2006, it entered into a Securities Purchase Agreement with Cornell Capital Partners, LP, selling $2,500,000 of secured convertible debentures to Cornell which can be converted into shares of NeoMedia common stock. In connection with the transaction, NeoMedia also issued 42 million warrants to Cornell with an exercise price of $0.06 per share, and repriced 210 million warrants held by Cornell to $0.04 per share. For a period of six months, NeoMedia has the right to redeem the repriced warrants on a cashless basis at a price of $0.12 per share.

Charles W. Fritz, NeoMedia's chairman and interim CEO, said that he and the company's Board "are pleased that Cornell has stepped up to help us meet current and near-term obligations. Mr. Fritz said that a significant portion of the funds is expected to be used to repay some of NeoMedia's obligations to silent partners assumed by the company in its acquisition of 12Snap AG in February 2006.
